This Agreement is made between Sierra International Network Inc., a corporation ("SINI" or the "Company"), and the individual who accepts this Agreement electronically in the TapEquity application (the "Contractor").
SINI engages the Contractor as an independent contractor to perform marketing and promotional services described in Section 2 (the "Services"). In consideration for Services actually performed and accepted, SINI will compensate the Contractor with shares of SINI common stock as set out in Section 4, instead of cash. Compensation is earned only through completed Services. No shares are granted for signing up, for joining, or for any reason other than Services performed under this Agreement.
The Contractor agrees to perform the following Services during the Term:
Each item of Services is complete only when (a) it has been published publicly on the Contractor's own account, (b) evidence (screenshot, link or upload) has been submitted in the application, and (c) SINI has accepted it. Published content must remain public and unedited for at least seven (7) days. SINI may reject Services that are late, incomplete, not public, misleading, or in breach of Section 6.
The application keeps an account of accepted Services as points. Points are an accounting measure of completed Services and have no cash value, cannot be sold, transferred or redeemed for money, and are not a security. SINI publishes the points assigned to each type of Service in the application. The current schedule is: initial Stock in the Box post 900 points (once); each weekly post 100 points; four-week consistency bonus 50 points; live video bonus 50 points; posts reaching 100 or more engagements 25 points; approved community post 20 points (30 with photo or video evidence); sharing an approved post 10 points; product video as published per product; a video of at least five minutes with the Contractor on camera 500 points; live-event attendance 30 points; daily check-in as published in the application. Points are paced over the Term: at most 1,200 points may be earned in the first thirty days and at most 800 points in each following thirty-day period, so that the full program of 10,000 points is reached at the end of the Term. SINI may adjust the schedule for future Services with notice in the application.
4.1 Rate. For every one hundred (100) points of accepted Services, SINI will issue one (1) share of SINI common stock to the Contractor. The full program of ten thousand (10,000) points corresponds to one hundred (100) shares. Referral compensation under Section 5 is issued in hundredths of a share.
4.2 Issuance conditions. Shares are issued only after (a) the Contractor requests conversion of points in the application, (b) the Contractor has completed identity verification (KYC) required by SINI, (c) the Contractor has provided the tax information SINI requires, and (d) SINI has confirmed the Services were genuinely performed. SINI records issued shares in its shareholder register and delivers an electronic certificate or statement.
4.3 Value. The application may display an indicative value per share taken from SINI's Stock in the Box program until a value determined in connection with SINI's securities filings applies. This figure is an indication for information only. SINI makes no promise about the value of its shares, their future price, any listing, any public market, or any buyer.
4.4 Nature of the shares. The shares are compensation for services and are issued under an exemption from registration. They are restricted securities, may carry a restrictive legend, may not be transferred except in compliance with applicable securities laws, and may be subject to holding periods and to SINI's transfer procedures.
4.5 Limit. SINI has allocated a fixed number of shares to this program. When that allocation is exhausted, SINI may stop accepting new Services under this Agreement or offer cash or other compensation for further Services, at its option.
4.6 Not an offer. This Agreement is an agreement for services. It is not an offer to sell, or a solicitation of an offer to buy, any security. Any purchase of SINI shares by anyone is a separate transaction under SINI's own securities offering documents and is not governed by this Agreement.
If a person the Contractor referred registers and completes identity verification, the Contractor earns compensation of one tenth (0.10) of one share for the referral service. Referral compensation applies only to direct referrals, one level deep, and is subject to Sections 4.2 and 4.5.
The Contractor will: use only accounts that belong to the Contractor; hold one TapEquity account only; not use bots, automation, purchased followers, fake engagement, or other people's identities; publish only truthful content and clearly disclose paid or sponsored content where required (for example, using "#ad" or "sponsored" on advertiser posts, as required by the U.S. Federal Trade Commission); comply with the rules of each social platform; not publish anything unlawful, defamatory, or infringing; and not make any statement about SINI's shares, their value, or any offering except by sharing content supplied by SINI. Services performed in breach of this Section are not accepted, and any compensation issued for them may be cancelled.
The Contractor grants SINI and its advertising clients a non-exclusive, worldwide, royalty-free licence to reproduce, display and distribute the content the Contractor publishes under this Agreement, including product videos, for marketing purposes. The Contractor keeps ownership of that content. SINI's marks, images and supplied materials remain SINI's property.
The Contractor is an independent contractor, not an employee, partner or agent of SINI. The Contractor is responsible for all taxes on compensation received under this Agreement. Shares issued as compensation are taxable income at their fair market value when issued, and SINI may report that income to tax authorities (for example, on IRS Form 1099) and may require a completed Form W-9 or W-8 before issuance.
9.1 The Term is one (1) year from acceptance.
9.2 The Contractor may stop performing Services at any time. Points for accepted Services remain convertible for ninety (90) days after the Term ends.
9.3 SINI may terminate this Agreement immediately for breach of Section 6, for fraud, or if SINI reasonably believes the Contractor is not a real, unique individual. In that case unconverted points are cancelled and SINI may cancel shares issued for Services that were not genuinely performed.
9.4 SINI may end or change the program for future Services with notice in the application. Accepted Services already performed will be compensated under this Agreement.
Governing law: State of California. Disputes: the parties will first try to resolve any dispute in good faith; unresolved disputes are subject to binding arbitration in Orange County, California, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court. This Agreement is the entire agreement about its subject matter. SINI may update this Agreement for future Services by presenting a new version in the application for acceptance. If any provision is unenforceable, the rest remains in effect.
Tapping "I accept" in the TapEquity application records the Contractor's name, email address, date, time, IP address and application version and constitutes the Contractor's electronic signature under the U.S. E-SIGN Act.
